AZ Easy CPA QuickBooks Integration Services

End-User License Agreement

This End-User License Agreement (“Agreement” or “EULA”) is a legal agreement between you (“Client,” “you,” or “your”) and AZ Easy CPA (“we,” “us,” or “our”) for the use of our automated accounting integration services that connect to your QuickBooks Online account via Intuit’s QuickBooks API.

Important: By authorizing AZ Easy CPA to access your QuickBooks Online account through our integration services, you acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement.

1. About the Integrations

Integration Purpose

AZ Easy CPA has developed a set of internal tools (referred here as “the Application”) that integrate with Intuit QuickBooks Online through the QuickBooks API. The Application is designed exclusively to streamline and enhance the accounting services we provide to our clients.

What the Application Does

The Application allows us to:

  • Automatically retrieve financial reports including Balance Sheets and Profit & Loss (P&L) statements from your QuickBooks Online account
  • Access transaction data, account information, and financial records necessary for providing accounting services
  • Export and analyze your financial data to prepare accurate reports and recommendations
  • Monitor your financial records to provide timely accounting support and consultation
  • Generate periodic financial summaries and analyses for your business
  • Facilitate data transfer between QuickBooks and our internal systems for efficient service delivery

Internal Use Only: This Application is an internal tool used exclusively by AZ Easy CPA to serve our existing clients. It is not a public application available to other users or third parties.

2. License Grant

Subject to your compliance with this Agreement, AZ Easy CPA grants you a non-exclusive, non-transferable, revocable license to authorize our Application to access your QuickBooks Online data solely for the purpose of receiving professional accounting services from AZ Easy CPA.

Scope of License

This license permits:

  • AZ Easy CPA to connect to your QuickBooks Online account via the QuickBooks API
  • Automated retrieval of financial data as necessary to provide our services
  • The use of the Application is a part of your engagement with AZ Easy CPA for accounting services

Restrictions

You may not:

  • Attempt to reverse engineer, decompile, or disassemble the Application
  • Use the Application for any purpose other than receiving services from AZ Easy CPA
  • Transfer, sublicense, or share your access credentials with any third party
  • Use the Application in any way that violates applicable laws or regulations

3. Client Authorization and Consent

Authorization to Access QuickBooks Data

By accepting this Agreement, you explicitly authorize AZ Easy CPA to:

  • Connect to your QuickBooks Online account through Intuit’s official API
  • Access, retrieve, and download financial data including but not limited to:
    • Balance Sheets
    • Profit & Loss statements
    • Trial Balances
    • Transaction details
    • Account information
    • Vendor and customer records
    • Expense and income data
    • Any other financial reports necessary for providing accounting services
  • Use automated systems to retrieve this data on a periodic basis
  • Store and process your financial data in accordance with our Privacy Policy

QuickBooks OAuth Authorization

Access to your QuickBooks Online account is granted through Intuit’s secure OAuth 2.0 authorization process. You maintain the ability to revoke this authorization at any time through your QuickBooks account settings or by contacting us directly.

4. Data Access and Usage

What Data We Access

Through the Application, we access the following types of data from your QuickBooks Online account:

  • Financial Reports: Balance Sheets, P&L statements, Cash Flow statements, and other standard accounting reports
  • Transaction Data: Sales receipts, invoices, bills, expenses, and other financial transactions
  • Account Information: Chart of accounts, bank account connections, and account balances
  • Business Information: Company name, address, tax identification numbers, and business structure details
  • Contact Information: Customer and vendor details as they relate to financial transactions

How We Use Your Data

Data accessed through the Application is used exclusively to:

  • Provide professional accounting services as outlined in your engagement letter
  • Prepare financial analyses, reports, and recommendations
  • Ensure accuracy and completeness of your financial records
  • Facilitate tax preparation and compliance activities
  • Monitor your financial health and provide proactive consulting
  • Fulfill our professional obligations as your CPA

Data We Do NOT Access

The Application does not and will not:

  • Modify, delete, or alter any data in your QuickBooks account without your explicit permission
  • Share your financial data with any third parties except as required by law or professional standards
  • Use your data for marketing purposes or to benefit other clients
  • Sell, rent, or lease your data to anyone

5. Data Security and Privacy

Our Security Commitment

We implement industry-standard security measures to protect your data, including:

  • Encrypted data transmission using SSL/TLS protocols
  • Secure authentication through Intuit’s OAuth 2.0 framework
  • Access controls limiting data access to authorized personnel only
  • Regular security audits and updates
  • Compliance with professional CPA confidentiality requirements
  • Encrypted data storage on secure servers

Professional Confidentiality

As a Certified Public Accountant, Chris Badulescu and AZ Easy CPA are bound by strict confidentiality requirements under:

  • AICPA Code of Professional Conduct
  • State Board of Accountancy regulations
  • Federal and state privacy laws
  • Professional liability insurance requirements

6. Third-Party Services

Intuit QuickBooks Online

This Application integrates with QuickBooks Online, a service provided by Intuit Inc. Your use of QuickBooks Online is subject to:

AZ Easy CPA is not responsible for Intuit’s services, policies, or any issues arising from QuickBooks Online itself.

Workflow Automation Platform

Our Application utilizes workflow automation technology to connect to the QuickBooks API and process your data. All data processing occurs in accordance with this Agreement and our Privacy Policy.

7. Your Responsibilities

As a client using this Application, you agree to:

  • Maintain an active QuickBooks Online subscription
  • Keep your QuickBooks account information accurate and up-to-date
  • Notify us immediately if you suspect any unauthorized access to your QuickBooks account
  • Comply with all applicable laws and regulations
  • Provide accurate information when authorizing access to your QuickBooks account
  • Maintain the security of your QuickBooks login credentials
  • Inform us of any changes to your business structure or operations that may affect our services

8. Service Availability and Support

Availability

While we strive to maintain continuous access to the Application, we do not guarantee uninterrupted availability. The Application may be temporarily unavailable due to:

  • Scheduled maintenance and updates
  • Technical issues with the QuickBooks API
  • Internet connectivity problems
  • Force majeure events beyond our control

Support

Questions or issues related to the Application should be directed to AZ Easy CPA through our standard client support channels. We will make reasonable efforts to resolve any technical issues promptly.

9. Limitation of Liability

To the fullest extent permitted by law:

  • AZ Easy CPA’s liability arising from the use of this Application shall be limited to the fees paid for services during the period in which the issue occurred
  • We are not liable for any indirect, incidental, special, consequential, or punitive damages
  • We are not responsible for any data loss or corruption caused by QuickBooks Online, Intuit, or internet service disruptions
  • We are not liable for business losses resulting from temporary unavailability of the Application

Note: This limitation does not apply in cases of gross negligence, willful misconduct, or fraud on the part of AZ Easy CPA.

10. Intellectual Property

The Application, including all software, code, processes, and methodologies, is the intellectual property of AZ Easy CPA. This Agreement does not transfer any ownership rights to you. You receive only the limited license described in Section 2 of this Agreement.

11. Term and Termination

Term

This Agreement remains in effect as long as:

  • You maintain an active engagement with AZ Easy CPA for accounting services, AND
  • You have authorized our Application to access your QuickBooks Online account

Termination by You

You may terminate this Agreement at any time by:

  • Revoking access through your QuickBooks Online App Management settings
  • Notifying us in writing of your intent to revoke access
  • Terminating your accounting services agreement with AZ Easy CPA

Termination by Us

We may terminate this Agreement if:

  • You breach any terms of this Agreement
  • Your accounting services engagement with us is terminated
  • We discontinue the Application
  • Required by law or professional standards

Effect of Termination

Upon termination:

  • Our access to your QuickBooks Online data will cease
  • You remain responsible for any outstanding fees for services rendered
  • We will retain copies of data previously accessed as required by professional standards and legal obligations (typically 7 years)
  • Confidentiality obligations continue indefinitely

12. Compliance with Laws

This Application and our use of your data comply with:

  • Intuit’s QuickBooks API Terms and Conditions
  • Federal and state privacy laws
  • Professional accounting standards and ethics requirements
  • Data protection and security regulations

13. Modifications to This Agreement

We reserve the right to modify this Agreement at any time. Changes will be effective upon:

  • Posting the updated Agreement on our website with a new “Last Updated” date
  • Sending notice to clients via email

Continued use of the Application after changes are posted constitutes acceptance of the modified Agreement. If you do not agree to the changes, you may revoke access to the Application.

14. Dispute Resolution and Governing Law

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of law provisions.

Dispute Resolution

In the event of any dispute arising from this Agreement or the use of the Application, the parties agree to first attempt resolution through good faith negotiation. If unsuccessful, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, with arbitration taking place in Maricopa County, Arizona.

15. Entire Agreement

This Agreement, together with our Privacy Policy and any engagement letter for accounting services, constitutes the entire agreement between you and AZ Easy CPA regarding the Application and supersedes all prior agreements and understandings.

16. Severability

If any provision of this Agreement is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

17. No Waiver

Our failure to enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision.
